Terms of Service

These Terms of Service ("Terms") govern your use of the BuildFlow platform provided by BuildFlow. By creating an account or using BuildFlow you agree to these Terms. If you do not agree, please do not use BuildFlow.

1.Definitions

  • BuildFlow, we, us: BuildFlow.
  • Service: the BuildFlow web application, mobile application, and any related features and APIs.
  • You, your: the individual or organisation that has created an account.
  • Project Manager or PM: a user with the project manager role who creates and administers projects.
  • Contractor: a user invited to a project by a PM to submit valuations and invoices.

2.Eligibility and account registration

You must be at least 18 years old and able to enter into a legally binding contract to use BuildFlow. You agree to provide accurate information when creating your account and to keep your password secure. You are responsible for any activity under your account.

3.Subscription, free trial, and billing

BuildFlow currently offers free access during an early-customer period. Paid subscription tiers will be introduced in due course. We will notify you in advance of any change to pricing or billing and will require you to accept updated terms before charging you.

Where a free trial is offered, no credit card is required to start the trial. We will not charge you without your express prior consent.

4.Your responsibilities

As a Project Manager, you are responsible for the projects you create, the contractors you invite, and any certifications, payment decisions, and contractual judgments you make using BuildFlow. As a Contractor, you are responsible for the accuracy of the valuations and invoices you submit through the platform. Both parties remain bound by the terms of any underlying construction contract between them.

5.Acceptable use

You agree not to:

  • Use BuildFlow for any unlawful purpose
  • Attempt to gain unauthorised access to any account, data, or system
  • Scrape, crawl, or otherwise extract data in bulk
  • Reverse engineer, decompile, or attempt to extract the source code of BuildFlow
  • Abuse the AI chat assistant, including attempts to extract confidential information, generate malicious code, or circumvent safety controls
  • Upload malware, viruses, or other harmful content
  • Impersonate any person or entity

6.Intellectual property

You retain all rights in the data and content you upload to BuildFlow. You grant us a limited, worldwide, royalty-free licence to host, store, and process your content solely to provide the Service. We retain all rights in the BuildFlow platform itself, including its software, designs, and trade marks.

7.Confidentiality

Each party agrees to keep the other's confidential information confidential and to use it only as necessary to perform under these Terms. Confidential information does not include information that is publicly known, was already known to the recipient, or is required to be disclosed by law.

8.Service disclaimer

BuildFlow is a record-keeping and workflow tool. Certification of payments, approval of valuations, and resolution of disputes are the contractual responsibility of the human Project Manager and the parties to the underlying construction contract. BuildFlow does not verify, guarantee, or endorse any valuation, certification, payment, or other contractual decision made through the platform. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

9.Limitation of liability

To the maximum extent permitted by law, our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees paid by you to us in the twelve months preceding the event giving rise to the claim and (b) one hundred pounds sterling (£100). We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded by law.

10.Indemnification

You agree to indemnify and hold us harmless from any claim, loss, damage, or cost (including reasonable legal fees) arising from your use of the Service in breach of these Terms, your breach of any third-party rights, or any content you upload.

11.Term and termination

These Terms apply for as long as you have an account with us. You may close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if you fail to pay any fees that become due. We will, where reasonably practicable, notify you in advance of any termination by us.

12.Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that we may bring proceedings in any jurisdiction to enforce our intellectual property rights.

13.Dispute resolution

Before starting court proceedings, you agree to contact us at hello@build-flow.io to attempt to resolve the dispute informally. We will respond within thirty days.

14.Changes to these terms

We may update these Terms from time to time. The version number and last-updated date at the top of this page will reflect any change. For material changes we will notify you by email or via an in-product notice at least thirty days before the change takes effect, unless the change is required by law to take effect sooner.
